Content License, Warranty, and Release Agreement

1. Ownership, Authority, and Non-Infringement

You represent and warrant that:

• You are the sole legal owner of the submitted photographs, graphics, and materials (“Content”), or you hold all express, written licenses, releases, and authorizations necessary to grant the rights set forth herein.
• The Content does not infringe upon, misappropriate, or violate any copyright, trademark, trade dress, patent, or other intellectual property rights of any third party.
• The Content does not violate any individual’s right of privacy or right of publicity, and you have obtained written, legally effective model releases and property releases for any recognizable persons or private property depicted.
• The Content contains no defamatory, unlawful, or disparaging material.

You retain underlying copyright ownership in the Content.

2. Scope of License Grant

You grant Femzen, its parent, subsidiaries, affiliates, successors, assigns, and licensees a non-exclusive, worldwide, royalty-free, transferable, and sublicensable (solely to technical service providers and hosting platforms acting on Femzen's behalf) license to host, store, cache, reproduce, modify, format, crop, resize, display, perform, publish, and distribute the Content. This grant applies across femzen.com, affiliated digital publications, syndication feeds, email newsletters, and official social media platforms, strictly in connection with editorial, directory, promotional, and marketing coverage of your brand, services, or products.

3. Commercial Restrictions

Femzen agrees that it will not sell, stand-alone license, or transfer the Content to unaffiliated third parties for their independent commercial exploitation or resale as stock photography.

4. Indemnification

You agree to defend, indemnify, and hold harmless Femzen, its officers, directors, members, employees, contractors, agents, and representatives from and against any and all claims, demands, actions, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or related to:

• Any breach or alleged breach of your representations, warranties, or covenants under this Agreement.
• Any claim that the Content infringes, misappropriates, or violates any third-party intellectual property, proprietary, privacy, or publicity rights.

5. Limitation of Liability

To the fullest extent permitted by law, Femzen shall not be liable to you or any third party for any indirect, incidental, consequential, special, or punitive damages arising from the hosting, display, distribution, or removal of the Content. In no event shall Femzen’s aggregate liability exceed the total consideration paid by Femzen to you (if any) or $100 USD, whichever is greater.

6. License Termination and Digital Removal Protocol

You may request the removal of specific Content from active public display at any time by providing written notice to Femzen at removals@femzen.com. Upon receipt of a verified request:

• Femzen will make commercially reasonable efforts to remove the designated Content from active pages on femzen.com within thirty (30) business days.
• You acknowledge and agree that Femzen is under no obligation to recall, delete, or modify materials already distributed in past email newsletters, physical print, archived cache files, search engine index caches, or previously published third-party social media feeds.
• Femzen shall incur no liability for delays or third-party archival storage outside its immediate operational control.

7. Governing Law and Dispute Resolution

This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of New York, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York.
